tl;dr: Publisher of "Good Morning to All" ("Good Morning to You") hired person to make piano arrangement of "Happy Birthday" in 1935. That publisher was eventually bought by Warner/Chappell. Thus claim.

You really should. It's a bit more complicated than the way I put it. The way I read it, they continue to hold copyright over the specific piano arrangements and a second verse to the song that nobody uses.
