1 and 3 seems easier said than done. All you did was point out the obvious there. There has been a lot of talk about 2 though and as for 4 no one is probably going to take that seriously except for the guy who said he felt left out when he saw private giveaways end.

1 I can't really offer anything on. Can't think of any ways to do it better that wouldn't be both needlessly complex and still, in the end, abused just as badly.
2 This has been debated to death all over the forums, and will forever to come. Some people give a lot, some people try to leech. Some broke people are broke and can't currently buy games who try their hardest to contribute in other ways. The problem with any draconian measure to fix "leeching" is that it also clamps down hard on those who simply aren't presently able to give.
3 The description field works pretty well for this, since any special rules have to be approved up front by the mods anyway. Perhaps just a "call for reroll" button for gifters as a quick way to get word to cg that a rule hasn't been followed in said giveaway. Attach a comment to it and it's a nice method of quick reporting.
4 "I don't like them unless I am in them." So is this really a site issue? Or more of an "if I can't be in them, no one should" suggestion? To answer your latter question, what if I met those friends here? Or the puzzle giveaways that have been here in the forums, those are private. Giveaways in the forum to encourage reading through it. Giveaways in chat, to give those active people a better chance. A dozen friends who all happen to be members and one extra copy of a game, here is a perfectly amicable and fair way to choose who it goes to. Need I go on?

It seems there are too many problems with the current system, theres too much fussing going around and yadda yadda. The invite system needs to be changed, and some other things and I think it needs some criteria:
Inability to sell invites:
This would mean nothing like codes or anything similar. It would have to be something else that you wouldn't be able to give to someone.
More open of a site but lock down on leeches:
It needs to be more open, so more people can sign up but with less leeches.
Example: A system where say a person has won a giveaway, but has not submitted anything. They are no longer able to enter giveaways until they have given something away. This is a ruff example and would need to be more lose though.
More settings in giveaways:
This means special rules.

4 (extra). My opinion on private giveaways:
I don't like them unless I am in them.
I find it kind of silly. There only purpose seems to be for chat giveaways.
If you really wanted to do a giveaway for your friends why would you waste your points getting them invites to this site and then making them spend there points?
