Windows 8 $40 with free windows media center keys

Has anybody seen this? (http://windows.microsoft.com/en-US/windows/buy)[Upgrade from XP thru 7 to Win8 Pro for $40]. Deal or dud?
I ran the upgrade assistant and found a few games (Morrowind, Fallout III) and programs (comodo, DEAMON tools) apparently will no longer work.
I never ran the beta but have been seeing that win8 is supposed to be a crowning achievement for M$. I'm currently running win7 ult but have been having some issues with it crying that I'm out of memory even when it tells me there is 4 gb free. Anyway.. is win8 that much better?
Buy it at $40 and hold off for about a year till M$ gets a bunch of bugs and exploits taken care of?
